Terms of Business

1. Services

YettyMabs Limited provides business analysis, process improvement, Microsoft 365 and SharePoint implementation, Power BI and data reporting, website design and development, workshop facilitation and related consultancy services. All engagements require a written proposal or booking confirmation accepted by both parties before work begins.

2. Scope and Change Requests

Work outside the agreed scope will be quoted separately in writing and will not begin without written client approval. Verbal agreements to change scope are not binding.

3. Fees and Payment

Standard payment terms are 50% on commencement and 50% on completion. For engagements running longer than 4 weeks, a midpoint payment of 25% may apply, with the remaining 25% on completion. All invoices are due within 14 days of issue. Fees are in pounds sterling and exclusive of VAT. YettyMabs Limited is not currently VAT registered.

4. Travel and On-Site Delivery

All services are available remotely at the prices shown. On-site delivery across the UK is available on request. Travel costs are charged at cost and agreed in writing before any on-site booking is confirmed. This includes rail travel at standard class, mileage at the current HMRC approved rate of 45p per mile, parking at actual cost, and accommodation where an overnight stay is required.

No travel costs will be charged without prior written agreement from the client.

5. Late Payment

Overdue invoices accrue statutory interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998. YettyMabs Limited reserves the right to pause or suspend work where an invoice remains unpaid beyond its due date.

6. Intellectual Property

All deliverables remain the property of YettyMabs Limited until full payment is received, at which point ownership transfers to the client as specified in the agreed proposal. YettyMabs Limited retains the right to reference completed work in its portfolio unless the client has requested otherwise in writing.

7. Confidentiality

Both parties agree to keep all shared information confidential and not to disclose it to any third party without prior written consent. This obligation continues for 2 years after the end of the engagement.

8. Data Protection

YettyMabs Limited is registered with the Information Commissioner's Office (ICO Registration: ZC104338) and complies with the UK General Data Protection Regulation and the Data Protection Act 2018. Our full Privacy Policy is available at yettymabs.com/privacy.html.

9. Limitation of Liability

The total liability of YettyMabs Limited in respect of any engagement is limited to the fees paid for that specific engagement. YettyMabs Limited is not liable for any indirect, consequential or economic losses.

10. Termination

Either party may terminate an engagement with 14 days written notice. Fees for all work completed up to the termination date are payable in full within 14 days. Where a deposit has been paid, it is non-refundable if the client terminates after work has commenced.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
